These conditions govern exclusively sales made on the 420greenroad.com website and are systematically accessible to all customers at the time of order registration.

No general or specific conditions issued by the customer may replace these general conditions of sale.

Consequently, placing an order implies full acceptance of these terms and conditions of sale, to the exclusion of all others. These conditions are available in French and can be printed by following the instructions provided by the customer's Internet browser. For any further information, the customer may contact the customer relations department via the "Contact us" option.

We remind you that the sale of smoking accessories is strictly forbidden to minors under the age of 18. UPWILY SAS reserves the right to cancel any order placed by a minor.

In addition, all products sold on the 420greenroad.com website are in full compliance with current French legislation. UPWILY SAS shall not be held liable for any consequences arising from the purchase of products on the 420greenroad.com website by residents of countries other than France.

UPWILY SAS and 420greenroad.com in no way promote the use of products classified as narcotics in Europe and France.

ARTICLE 2 - USE OF THE 420 GREEN ROAD BRAND AND THE 420GREENROAD.COM WEBSITE

UPWILY SAS is not the owner of the "420 Green Road" brand, nor of the 420greenroad.com website.

UPWILY SAS is authorized to use the "420 Green Road" trademark and the 420greenroad.com website as a licensee under a trademark license agreement. The owner of the "420 Green Road" trademark is not responsible for the use made of its trademark during the period of its exploitation by UPWILY SAS.

ARTICLE 3 - PRICES

The prices of all our products are indicated in euros, inclusive of all taxes.

All orders placed on the 420greenroad.com website must be paid for in euros. Products will be invoiced according to the rates in force at the time of order validation.

ARTICLE 4 - DELIVERY AREA

Packages are delivered to mainland France, French overseas departments and territories (Guadeloupe, Martinique, Reunion Island, etc.), the European Union (Italy, Belgium, Switzerland, Luxembourg, Germany, Spain, Portugal) and all 27 EU member states. Other countries may also be eligible for delivery. If your country is not on this list, please contact us before placing your order. The average delivery time is 1 to 15 working days. However, delays do not entitle the buyer to cancel the sale, refuse the goods or claim damages.

We cannot be held responsible for late deliveries or supplier shortages.

Any anomaly noted on the external appearance of the parcel (damaged or open carton or packaging, etc.) upon delivery must be noted in writing on the delivery receipt for any subsequent claim. Complaints concerning the condition or contents of packages must be made immediately upon receipt, and in any case within 48 hours, in order to be taken into account by our services.

ARTICLE 5 - ORDERING

Buyers wishing to purchase a product or service must :

- confirm your order after checking it;

- make payment in accordance with the conditions set out ;

Confirmation of an order implies acceptance of these terms and conditions of sale, acknowledgement of full knowledge of them and waiver of the right to invoke one's own terms and conditions of purchase or any other terms and conditions.

All data provided and the recorded confirmation will be considered as proof of the transaction. Confirmation shall constitute signature and acceptance of the operations carried out.

ARTICLE 6 - PAYMENT

The price is due when the order is placed.

Payments are made by bank transfer and credit card (Visa, MasterCard) via Payabl.

Online credit card payment: Payment by credit card is handled by our Payabl payment platform. The secure credit card payment procedure is based on the data encryption protocol established worldwide by Payabl, a company approved by the world's banking organizations.

For each order, an invoice will be sent by email to the buyer without the need to request it. If, for any reason, the buyer does not receive this invoice, he/she may request it by post or email.

ARTICLE 7 - CONSUMER INFORMATION

In accordance with articles L111-1 and L113-3 of the French Consumer Code, the essential characteristics and prices of products sold electronically are available on the 420greenroad.com website.

In addition, the customer receives the information provided for in articles L121-17 and L121-19 of the French Consumer Code, before and after the conclusion of the sale, and in particular by these general conditions of sale, which he declares to have read before validating his order and to which he has access from the 420greenroad.com website.

ARTICLE 8 - WITHDRAWAL RIGHTS AND DEADLINES

In accordance with article L. 121-20 of the French Consumer Code, "the consumer has a period of fourteen clear days to exercise his right of withdrawal without having to justify his reasons or pay any penalties, with the exception, where applicable, of the cost of returning the goods". "The period referred to in the previous paragraph runs from receipt for goods or acceptance of the offer for services.

If the order consists of several products delivered separately, the withdrawal period for all the products concerned by this order runs from the date of receipt of the last product.

To exercise his right of withdrawal, the Customer must notify UPWILY SAS of his intention to withdraw, before the expiry of the applicable withdrawal period. ARTICLE 9 - REFUNDS AND RETURNS

The customer has an additional period of fourteen (14) days from notification of his intention to withdraw to UPWILY SAS to return the products. Return shipping costs are the responsibility of the customer, who must send the parcel by post to the address communicated after contact with UPWILY SAS via the 420greenroad.com website.

UPWILY SAS reserves the right to refuse the return of products if this occurs after the expiry of the legal period of fourteen (14) days following notification by the customer of his decision to withdraw, provided that the delay in return is attributable to the customer.

To be eligible for a refund, products must be returned in their original, unopened packaging, accompanied by their purchase invoice or a copy of this invoice.

If the packaging has been opened, UPWILY SAS reserves the right to refuse all returns and refunds.

In the event of a product return (unused) following a retraction, in accordance with the above-mentioned conditions, the customer may opt for a full refund or an exchange for products of equivalent market value to the original order.

If the customer wishes to return partially used products, UPWILY SAS reserves the right to refuse the return without explanation. If UPWILY SAS accepts the return, the customer may choose between an exchange of products of equivalent value to the initial order, deducted from the value of the consumed products, or a refund corresponding to the value of the returned products.

Refunds or exchanges will be made only after UPWILY SAS has confirmed receipt of the returned products. In the event of loss, theft, or any other incident resulting in the non-receipt of returned products by UPWILY SAS, the company reserves the right to refuse the previously agreed refund or exchange.

If the return is due to an error on the part of UPWILY SAS or to a problem of non-conformity (see article 12), the customer will be reimbursed the full cost of delivery, on the basis of the standard delivery method proposed by UPWILY SAS. If the return is the result of dissatisfaction or other problems unrelated to the services of UPWILY SAS, the return costs are entirely at the customer's expense.

In the event that a refund is confirmed by UPWILY SAS under the above conditions, it will be made via the same means of payment used for the order, without undue delay and no later than fourteen (14) days after receipt by UPWILY SAS of the returned products.

UPWILY SAS does not reimburse additional costs if the customer has opted for a more expensive delivery method than the standard one offered by UPWILY SAS.

ARTICLE 10 - REFUNDS AND PARCELS "NOT RECEIVED" BY THE CUSTOMER

The term "non-received" refers to all cases (excluding customs) that could result in the customer "not receiving" the parcel.

If the package is marked as "delivered" by the carrier with proof of delivery, but the customer claims not to have received anything, UPWILY SAS reserves the right to refuse any refund.

Metropolitan France :

If, after 10 working days and in accordance with the conditions mentioned above, the customer, having chosen a postal address located in Metropolitan France, has still not received his parcel and it is not indicated as "delivered", then UPWILY SAS will offer him a full refund of his order or a return of the parcel at no additional cost.

European Union :

If, after 20 working days and in accordance with the conditions mentioned above, the customer, having chosen a postal address located within the European Union (excluding Metropolitan France and French overseas departments and territories), has still not received his/her package and it is not indicated as "delivered", then UPWILY SAS will offer him/her a full refund or return of the package at no additional cost.

Rest of the world :

We do not ship outside the European Union.

Packages seized by Customs:

UPWILY SAS reserves the right to refuse any refund or return of an order in the event of seizure by customs in the customer's country of destination. We remind you that all products sold on the 420greenroad.com website are in full compliance with the laws in force in France. UPWILY SAS, operator of the 420 Green Road brand, cannot be held responsible for the consequences of the purchase of products bearing the "420 Green Road" logo by the courts of a country other than France.

ARTICLE 11 - DELIVERY

Deliveries are made to the address indicated on the order form, which can only be within the agreed geographical area.

In the event of damage in transit, a justified protest must be made to the carrier within 48 hours of delivery.

Receipt of the transported goods extinguishes any action against the seller for damage or partial loss if, within 48 hours, not including public holidays, following receipt, the consignee has not notified the seller of his protest by extrajudicial act or by registered letter.

All risk of loss or damage to the goods passes to the consumer at the time when the consumer or a third party designated by the consumer, other than the carrier proposed by the trader, takes physical possession of the goods.

Reminder: Our products may in certain cases be seized by Customs and the competent authorities for verification. If your order is seized, it is your responsibility to rectify the situation.

ARTICLE 12 - WARRANTY

All products supplied by the seller are covered by the legal warranty provided by articles 1641 and 1648 (1st paragraph) of the French Civil Code.

The seller is liable for any hidden defects in the item sold which render it unfit for its intended use, or which impair that use to such an extent that the buyer would not have purchased it, or would have paid a lower price for it, had he been aware of them.

The seller delivers goods in conformity with the contract and is liable for any defects in conformity existing at the time of delivery.

He is also liable for any lack of conformity resulting from the packaging, assembly instructions or installation when the latter is his responsibility under the contract or was carried out under his responsibility.

The property conforms to the contract:

1° Whether it is fit for the purpose ordinarily expected of similar goods and, where applicable :

ARTICLE 13 - REDUCTION

UPWILY SAS, through 420greenroad.com, reserves the right to create new codes at any time (private discount code or public discount code).

In this case, UPWILY SAS has and will have no obligation to inform all customers. UPWILY SAS reserves the right to cancel these discount codes and any others already created without having to give any reason or explanation.

ARTICLE 14 - LIABILITY

UPWILY SAS cannot be held responsible for omissions or technical modifications to product characteristics by manufacturers or suppliers.

The seller, in the online sales process, is bound only by an obligation of means; it cannot be held liable for any damage resulting from the use of the Internet network, such as loss of data, intrusion, virus, service interruption, hacking or other involuntary problems.

The products offered by UPWILY SAS via the 420greenroad.com website comply with current French legislation. UPWILY SAS cannot be held responsible in case of disrespect of the legislation of the country where the products are delivered.

ARTICLE 15 - INTELLECTUAL PROPERTY

The "420 Green Road" trademark is used by UPWILY SAS following the signature of a trademark license agreement. It remains the property of UPWILY SAS for the duration of the trademark license agreement. Any use of the trademark "420 Green Road" by another company, entity or person, without the express prior consent of UPWILY SAS or the owner of the trademark, is strictly prohibited pursuant to Articles L335-2 and L335-3 of the French Intellectual Property Code and constitutes an infringement and an offence.

The photos, illustrations, logos and slogans, designs and models are the property of the "420 Green Road" brand and consequently that of UPWILY SAS for the duration of the trademark license agreement. Any reproduction in whole or in part without the express prior consent of UPWILY SAS is strictly prohibited under articles L335-2 and L335-3 of the French Intellectual Property Code, and constitutes an infringement and an offence.

ARTICLE 16 - PERSONAL DATA

UPWILY SAS undertakes not to divulge to third parties the information communicated, except in the cases mentioned below. This information is confidential.

UPWILY SAS may use customers' personal data to solicit their opinions on products purchased and on 420 Green Road more generally.

UPWILY SAS uses the "Judge Me" application to solicit reviews of purchased products. Judge.me Ltd, is located at c/o Buckworths 2nd Floor, 1-3 Worship Street, London. "Judge Me" guarantees the confidentiality of Customer information. The Customer is free to give his opinion or not. If he chooses to give his opinion, it will be posted on 420greenroad.com only, but he can still forbid UPWILY SAS to publish it, or ask for it to be published anonymously.

UPWILY SAS uses the solution proposed by the avis-verifies.com site to solicit opinions on 420 Green Road in a global manner. The avis-verifies.com website is operated by S.A.S NET REVIEWS, located at 18-20 Avenue Robert Schuman CS 40494 13002 Marseille. Avis Vérifiés attaches great importance to data confidentiality. Customers are free to give their opinion or not. If he chooses to give his opinion, it will be displayed on the site avis-verifies.com on the page dedicated to 420 Green Road. The Customer may decide at any time to ask UPWILY SAS and/or Avis Vérifiés to withdraw its opinion.

In general, UPWILY SAS may use third-party services to collect and analyze customer reviews. These third-party services are required to comply with current regulations on the protection of personal data.

In accordance with the French Data Protection Act of January 6, 1978, customers have the right to access, rectify and object to their personal data at any time. Customers may also exercise their right to limit the processing and portability of their data.

To do so, the customer must make an online request (via the "Contact us" section), providing proof of identity and indicating his or her surname, first name, address and, if possible, customer reference number.

By accepting these GTC, the Customer consents to the use of his/her personal data by UPWILY SAS and third party services in accordance with the conditions described above.

ARTICLE 17 - SETTLEMENT OF DISPUTES

These general terms and conditions of sale and the commercial relationship between UPWILY SAS, via the 420greenroad.com website, and the customer are governed by French and European law.

Any complaint relating to the non-performance or poor performance of sales services must, in order to facilitate their processing, be brought to the attention of UPWILY SAS, in writing, within the following deadlines

8 days after the date of use of the service, directly to Customer Service: "Write to us".

Failing amicable settlement, any dispute arising from the commercial relationship between UPWILY SAS, via the 420greenroad.com website, and the customer shall be subject to the jurisdiction of the French courts.
